  • 本個案公司是一間台灣上市電子連接器公司,面臨著因為國際原物料高漲與自家產能不足、外購比重過高使之營收不斷衰退,以及中國連接器市場崛起的低價搶單效應之下,為此,進行公司併購取得上游供應商資源,同時發展多元連接器產品線,擴大市場規模,強化公司競爭力。在外界驚嘆中,公司股價甚至站上百元俱樂部,孰不知卻在企業併購過程中,面臨許多前所未有的問題考驗,而個案主角Chris,是否能在快速時間內,重新建立團隊共識,兼顧新加入員工與原有團隊彼此的權益,讓公司融合上下一心,為公司併購後產生的問題帶來有效解決?
    多數的併購案在初期著重在財務面的探討規劃,往往一開始未將人力資源管理列入其中,致使未能達成預期的併購效益,然而成功的併購人力資源整合可以為併購產生新的企業價值,反之則可能讓企業併購產生一連串的嚴重問題或宣告併購失敗。藉由本個案議題討論,通徹瞭解人力資源整合在企業併購中的重要性,希望在未來的運作實務中,面對相同或類似問題時,能有更為周延與解決問題的能力。


    The case company is a Taiwan listed electronic connector company which is facing the problems of rising costs of international raw materials. The price of outsourcing is also high, so revenues continue to decline. Meanwhile, the single connector industry in China uses low prices as a means to gain the market. The case company has therefore carried out mergers and acquisitions with upstream suppliers of resources, while developing multi connector product lines and expanding its market size to strengthen the company's competitiveness. To the surprise of many outsiders, the case company's share prices have remained in the top hundred; however, it is well-known that the case company may face new challenges during the mergers and acquisitions’ procedure. The challenge for the case study’s main character, Chris, is whether he can respond promptly and re-establish a team consensus, while taking into account both new staff and the original team, so that the company can proceed forward with one mind and solve issues after the mergers and acquisitions have been completed.
    The majority of mergers and acquisitions only focus on financial planning in the early stages, while not taking human resources management into consideration. This can result in failure to achieve the expected benefits of acquisitions. A successful integration of human resources with the mergers and acquisitions process can generate new business value, but also has the potential to generate a series of problems, that may even result in the acquisitions’ failure. The aim of this case study is to discuss the importance of human resource integration in mergers and acquisitions. It is expected that the case company can gain problem solving skills that can be used when facing the same or similar problems in the future.
