個案公司成立三十週年經歷激烈的經營權之爭，全面改選董監事才得以落幕。新經營團隊進入立即面臨生存之急遽轉變，必須思考公司未來發展及方向目標，積極轉型公司集團化，整合上下游善用既有市場資源及資金，將公司獲利與資本運用效益最大化，進而跨足進入中國市場以開拓新生機。
本論文包括個案內容及教學手冊兩部分，透過本論文藉此培養領導者提高決策思維，須謹慎客觀分析，比較其結果優劣及掌握的資訊，經營策略是主動創造環境
，使競爭者變成互補者。從個案中獲得不同角度的啟發，在動態的環境下選擇轉型或升級，創新力闢新局，增加思考層面確保決策執行成效，可做為參考與借鏡。
本研究可用於討論企業轉型及企業整併、策略管理、資源整合等議題。

In the 30th anniversary of the case company, power struggle of the management is the end after the change in shareholdings of the director and supervisors. The new management team faced the critical issues and had to have the business survival plans and targets for the future. The company can be profitable and maximizes the usage of the working capital by transforming the company into the group company and integrating the resources of the supply chains.
The study is included the case story and the teaching notes. The leaders and management can improve the thinking of the strategic decision, the objective analysis of the critical issues and controlling the related resources and information. The management strategy is to create the new opportunities and to change the competitors into your partners. You can see things in a different light from this case.
In the case, the management can learn to transform or upgrade the company to create the future in the dynamic environment and the leaders have different thinking of the company advantage to execute the business plans.
