本文個案- D 公司,是一個台灣的公開發行無線通訊網路公司,以開發生產WiFi無線通訊網路模組、USB WiFi無線通訊外接器、 USB藍牙通訊外接器適用於與個人電腦、筆記型電腦連接, 同時也開發生產WiFi 路由器、 WiFi+ADSL 路由器、 WiFi+Storage路由器等家用無線基地台產品,經過了二十年的經營,公司的業績起起伏伏,長期處在虧損的狀態且規模有越來越小的現象。
參與原始主要投資人及幾年前也進入D公司經營的小王,經過了十五年的等待及後面五年的實際參與經營後,發現了D公司嚴重的經營與管理問題,雖然也投入所有的時間與精力,力挽狂瀾,好不容易將D公司的運營轉虧為盈,但最後小王還是遇到經營者陳先生及黃小姐的特殊人性特質,面臨是否繼續留下打拼? 評估有何方法可以改變D公司的公司治理亂象? 眼看股票有機會因上市櫃而解套,是否還要堅持? 如果選擇離開了,投資二十年的股票將如何處理等抉擇。
透過本文個案的探討,可以讓學習者了解管理議題如下: 參與一個產業的投資時需要考慮的因素為何? 中小企業經營者,在資金不予匱乏的情況下,要快速取得商場先機所要採取的經營模式及行銷策略為何? 創業領導者該有的創業家精神及及特質為何? 如何才能建立有效的公司治理與發揮團隊力量的組織管理機制?
本論文包含個案本文內容和教師手冊兩部分,透過本論文,藉此培養投資的風險分析與管理,預防及退場時機的判斷,經營者該有的決策思維與執行力,比較同業結果優劣及掌握相關的資訊,進而在日後碰到類似的投資或經營問題時,可以從個案中得到不同層面的啟發,也能提供給公司領導者對企業經營及公司治理的思維改變。
D Company, the subject of this case study, is a Taiwanese publicly listed company in the communication network industry. The major products it develops and produces are WiFi communication modules, USB-type WiFi dongles, USB-type Bluetooth dongles that work with personal or notebook computers, and WiFi gateway products, such as WiFi, WiFi +ADSL, and WiFi + storage routers. However, D Company has been under serious loss for a long time. Its performance had been up and down in the past 20 years, and its business scale is getting increasingly small.
Mr. Wang is one of D Company’s major shareholders. He joined the company a few years ago and found many operational and management problems. He invested all his time and efforts and finally turned D Company profitable in five years. However, Mr. Wang encountered serious personality trait issues with the top management, including Mr. Chen and Ms. Huang. He is currently facing the following issues: Should he work hard continuously? What kind of methods can be used to change the corporate governance of D Company? Seeing that the stocks have a chance to get listing and cash-out, does he need to insist on waiting for the stocks to get listing? How will he deal with the stocks that he held for 20 years if he chooses to leave D Company?
This article discusses our case study subjects. It enables learners to understand management topics, such as the key factors that must be considered before participating in any industry’s investment, the right marketing strategies and business models to immediately acquire business opportunities when SMEs have sufficient funds, the kind of entrepreneurial spirit and leader traits that a company’s operators must have, and the manner by which the right organizational management and effective corporate governance can be established to strengthen operating team.
This thesis includes an article and a teacher’s handbook. Through the exploration of the case study, we hope that people can cultivate the risk analysis ability, timely judgment of investment prevention and exit, key operator’s strategic thinking and execution abilities, and comparison analysis in the relevant industry. Moreover, we expect that people can find inspiration from different perspectives and provide guidance for company operation or corporate governance changes when they encounter similar investment or business operation problems in the future.
