  • 近年來,隨著全球經濟環境的變動,國際化已成為台灣企業發展的重要議題。而企業受到不同國際化程度的影響,會面臨複雜的資訊處理需求,因此,企業應該調整適當的公司治理機制,以助於營運發展達到最佳狀況。本研究即以台灣經濟新報資料庫與公開資訊觀測站為資料來源,蒐集台灣499家製造業上市公司為研究對象,選取的樣本期間為2005年至2012年。運用Panel Data迴歸模型、Probit迴歸與Ordered Probit迴歸探討國際化程度與公司治理之關係。研究結果顯示企業國際化程度與大股東持股比例呈正向關係;企業國際化程度與外部董事比例呈正向關係;企業國際化程度與CEO兼任董事長的可能性呈正向關係;企業國際化程度與資訊透明度呈正向關係。


    In recent years, the changes in the global economic environment internationalization have been an important issue for the development of the enterprises in Taiwan. However, due to the different degrees of internationalization, enterprises could face the complexity information-processing demands. Therefore, enterprises should adjust the appropriate corporate governance mechanisms, which help to develop into the optimal operating condition. Through TEJ and Market Observation Post System database, 499 samples of Taiwan manufacturing listed corporations from 2005 to 2012 are collected and analyzed. Using Panel Data regression model, Probit regression and Ordered Probit regression to examine the relationship between the degree of internationalization and corporate governance. This study documents that the enterprise’s degree of internationalization is positively related to the proportion of large shareholders; the enterprise’s degree of internationalization is positively related to the proportion of outside directors; the enterprise’s degree of internationalization is positively related to duality and the enterprise’s degree of internationalization is positively related to the proportion of transparency.
