  • 本個案故事在描述一個資訊廠商經理Robert,他所帶領的證券軟體開發事業部,正面臨著客戶不斷的消失(證券市場不斷合併),現有產品(期貨交易平台)逐漸不符合市場需求(期貨法規迅速開放),部門持續虧損的窘境。就在此時意外獲知台證的資訊主管願意提供相關領域知識與Robert的團隊合作開發一套極具業界創新的「國、內外期貨交易平台」,唯一的條件是暫時無法簽約付款。這個契機,讓Robert 心中織起一個極可能可以讓部門起死回生的藍圖,但現實面而言,能做嗎?去那裏找開發團隊的資源呢?總經理..要說服他,那是一個大難關啊!
    本個案討論資訊廠商與證券商之間的委外信任關係建立基礎,探討契約在IT資訊委外的重要性,在沒有簽訂契約下,雙方以長期合作的信任關係代替契約。資訊廠商在兩難的情形下,著眼未來金融商品的多樣性與快速變動,以掌握核心系統為中心,跨周邊衍生產品的策略思維,進行一場共同合作開發案。信任關係的建立非一朝一夕,需要有長期的合作互相信任、互相依賴,累積深厚的信任關係基礎,進而超越契約關係達到雙方共榮共存的共生關係。本個案之研究希望能藉由實際個案之發展經驗與理論之結合印證,提供企業在委外信任關係建立之參考。相關理論為委外、策略思維、關係、商業生態系統。


    This case described Robert, manager of an information supplier, whose Securities Solurities Department was facing the awkward situation of losing the clients (merging of securities market), gradually failing to meet the market demand (the rapid opening of futures laws and regulations) by the current products (futures trading platform), and financial loss. At this time, Robert learnt unexpectedly that the Information Director of Taiwan Futures Exchange (TAIFEX) would like to provide relevant knowledge and cooperate with Robert’s team to develop a creative “domestic and international futures trading platform”, and the only condition was that TSC temporarily could not sign the contract and settle the payment. This opportunity had built a view in Robert’s head of bringing his team back to life, but was it possible to do in reality? Where to find the resources for development team? How to persuade the General Manager, it was a very tough question.
    This case was discussing the establishment of trust between information supplier and brokerage in the outsourcing relationship, reviewing the importance of contract in IT information outsourcing, and investigating the possibility of replacing contract by the trust established in long term cooperation, under the condition of no contract. In the dilemma, the information supplier focused on the diversity and quick motion of the future financial products, adopted the strategy of focusing on the core system and producing cross-peripheral derivative products, finally reached the cooperation development. The trust relationship could not be established overnight, but required for the long term cooperation based on the mutual-trust and mutual-reliance, as the accumulation of the profound trust relationship, the mutual-beneficial and co-existence relationship would be established which was beyond the contract relationship. By studying this case, it was hoped that the combination of actual case and theory which confirmed each other could provide reference for the company to establish trust in the outsourcing relationship. The relevant theories are outsourcing, strategic thinking, relationship, business ecosystem.
