金融控股公司併購及經營綜效之個案研究-以國泰金控為例

論文摘要
政府因應自由化及國際化風潮，相繼通過「金融機構合併法」及 「金融控股公司法」，打破過去金融業不得跨業經營的限制，使各類金融商品合併經營合法化。現今台灣的金融控股公司正邁入第二階段整併，金融機構為提升競爭力紛紛走向大型化及邁向國際化的趨勢，如何推動銀行轉型、組織調整及策略運用，在競爭激烈的金融市場脫穎而出，而與國際金融業競爭，是國內金融業目前所面臨的重要課題。目前國內金融業大多以併購為策略，不過併購後資源整合至為重要，因為在整合過程中會因組織調整、各金控策略不同等因素造成資源配置是否具效率及能否產生綜效等問題。因此在併購、整合後的經營策略是未來金融業至為重要的課題。
本研究採用歷史資料收集、財務評估比較分析，來探討個案公司-國泰金控之經營綜效，針對國泰金控如何整合子公司資源的經營策略，達到共同行銷的最大效果。
研究結論：個案公司-國泰金控，是一家以人壽為主體的金控公司，透過評估金控績效與綜效之衡量指標，分析國泰金控整合旗下子公司通路資源之策略觀察，以及各事業群訂定業績目標，藉由整合子公司的資源，形成交叉跨售，在密切的交互關係的運用及價值活動共生運用下，達成不斷創造整體綜效的成果。藉此其提供有益金控公司業務發展的參考：
1. 配合金控公司版圖的發展，持續共同行銷創造交互價值增加的活動及競爭優勢。
2. 積極尋找購併的通路，增加通路的規模，以建立更大的營運規模及創造更大的綜效。
3. 透過過去五年整合經驗，不斷加強金控公司轄下各子公司的整合與協調，以減少或降低溝通的交易成本及無效率的情形。

Government in accordance to the liberalization and the internationalization passed “the financial organ combination method” one after another and “the financial holding law of corporation”, the break the financial industry did not have the conglomerate limit, to cause each kind of financial commodity merge management legalization in the past. Nowadays Taiwan's financial holding company is entering into the second stage entire and, the financial organ moves towards the large scale in abundance for the promotion competitive power and advances to the internationalization the tendency, how impels bank reforming, the organization adjustment and the strategy utilization, in competition intense money market blooming, but with the international financial industry competition, is the important topic which the domestic financial industry faces at present. At present the domestic financial industry mostly take the merger and acquisition as a strategy, after but merger and acquisition resources conformity to for important, because can organize in the conformity process to adjust, various golds controls the strategy not same level factor to create the resources to dispose whether an efficiency and whether does have questions and so on synthesis effect. Therefore after the merger and acquisition, the conformity management strategy will be the future financial industry to for the important topic.
This research uses the history acquisition of information, the financial appraisal comparative analysis, discusses the case company - country peaceful gold to control the management synthesis effect, how controls the conformity subsidiary company resources management strategy in view of the country peaceful gold, achieved sells together biggest effect.
Research conclusion: The case company - country peaceful gold controls, is one long-lived controls the company take the human as the main body gold, the penetration appraised the gold of controls weight target the achievements and the synthesis effect, the analysis country peaceful gold controls the conformity to serve under somebody's banner strategy of observation the subsidiary company circuit resources, as well as various enterprises group subscribes decides the achievement goal, because of the conformity subsidiary company resources, forms cross sells alternately, in the close alternately relational utilization and under the value activity paragenesis utilization, achieves creates the overall synthesis effect unceasingly the achievement. Takes advantage of this it to provide the beneficial gold to control the corporate business development the reference:
1. Matches the alloy to control the company domain the development, continues together to sell the activity and the competitive advantage which the creation interactive value increases.
2. Seeks the purchase positively the circuit, increases the circuit the scale, establishes the bigger transport business scale and creates the bigger synthesis effect.
3. The penetration passes five year conformity experiences, strengthens the gold to control the company unceasingly to govern various subsidiary companies the conformity and the coordination, reduces or reduces the communication the transaction cost and the inefficiency situation.
