近年來企業併購的案例層出不窮，在國內有鴻海入股夏普、開發金併購凱基證，而手機大廠更有專利權大戰—首先是蘋果一連串的小公司併購有LaLa Inc.(線上音樂服務)、Quattro Wireless(行動廣告公司)，Siri Inc.(手機應用開發商)和Intrinsity(半導體廠)等，而谷哥以高價收購摩托羅拉、宏達電從威盛及WTI手中收購S3 Graphics所有股權，還有入股Beats耳機廠等。
企業的收購原因很多，主要還是為了整合(上下左右)及達成綜效，但不是所有的收購案例都會成功，而且短期是無法看出成效的，收購事件是否真能按照最初的計畫實踐? 無論原因為何， 收購前嚴守紀律(收購標的需達到哪些標準)及收購後的管理(經營目標)才是讓收購效益達到最大的不二方法。
為說明上述的收購紀律與管理方法，本研究以個案方式進行，介紹個案公司的收購過程以及結論與後續發展等來加以說明。

There are numerous cases of mergers and acquisitions in recent years. The famous cases in Taiwan are that Hon Hai invested in Sharp, and China Development Financial Holding merged KGI Securities. Moreover, in cell phone manufacturers, there are several wars for patents: a series of Apple's M&A cases, such as LaLa Inc., one online music service company, Quattro Wireless Inc., a mobile advertising company, Siri Inc., a mobile application develop Inc. and Intrinsity, a semiconductor plant. However, Google acquired Motorola Mobility in a high price. HTC also acquired all the shares of the S3 Graphics from VIA and WTI, as well as invested in Beats, a headphone plant.
The main reasons for mergers and acquisitions are achieving vertical or horizontal integration and synergies. Are takeovers really able to practice in accordance with the original plan? Not all cases of acquisition will be successful and the results will not be seen in the short run. However, no matter what the reasons are, the key points are the discipline prior to the acquisition and post-acquisition management.
To illustrate the details of acquisition and management, this study uses a case method to analyze the processes of acquisition and provide information about the subsequent developments after the completion of the acquisition.
