Google Books積極與作者、出版商和圖書館合作，將圖書進行大規模的圖書數位化，以提供使用者透過搜尋引擎，檢索圖書全文內容，加速使用者找尋所需之圖書。但由於Google Books的「圖書館計劃」，在未經權利所有人同意下，進行數位化，已侵害權利所有人的權益。故權利所有人為此對Google提起訴訟。
權利所有人與Google之間的訴訟，雙方透過和解協議的方式解決雙方間的爭議，但美國各方、美國司法部與各國對Google Books存有疑慮，美國司法部更對原和解協議提出意見書，認為Google Books有聯邦民事訴訟法(Federal Rules of Civil Procedure)第23條、著作權法和反托拉斯法三個面向的問題，故否決原和解協議。
雙方依據美國司法部之意見修改和解協議，提出修正後和解協議。對於修正後和解協議，美國司法部仍認為存在上述三方面的問題，故截至目前為止，本和解協議尚未定案。
本文從原和解協議與修正後和解協議，分析權利所有人、Google、參與圖書館，及登記處所應盡之義務和未來營運模式，探討Google Books對電子出版市場中的內容、載體與交易中心之影響。據此對我國電子出版市場，提出未來發展之建議。
本研究結論與建議歸納如下：(1)與Google Books合作，增加圖書數位內容、(2)載體業者進行平台研發時，可配合導入Google Books之功能、(3)交易中心以合作取代自行提供檢索和預覽服務。

Google Books cooperated with authors, publishers and libraries actively to provide user the digital content from massive book digitization through a search engine. Google provide the service to search full text books and accelerate the speed for user to find required books. Due to the "Library Project" of Google Books digitized books without the consent of rights holders and infringed the rights, So all of the rights holders File the lawsuit to against Google.
The lawsuit between rights holders and the Google resolved through a settlement agreement between the parties dispute, but the U.S., U.S. Justice Department and other nations still doubt Google Books. U.S. Department of Justice also made submissions on the original settlement agreement for Google Books, and Pointing out three issues: the Federal Code of Civil Procedure (Federal Rules of Civil Procedure) section 23, copyright law and antitrust issues. It rejected the original settlement agreement.
Both parties correct settlement agreement according to the opinion of the U.S. Department of Justice and proposed the revised settlement agreement, but U.S. Justice Department considered that the three issues still exist. So the settlement agreement is not yet finalized until now.
The paper researches from the original settlement agreement and the revised settlement agreement to analyze right holders, Google, participating libraries and registration of the obligations imposed upon the premises and the future business model. It also confers the effect of Google Books on the contents of electronic publishing market, carrier and trading center, and brings up Suggestions in the development of Taiwan e-publishing market.
The study concludes with recommendations into the following: (1) Cooperate with Google Books to increase digital content library, (2) it can tie into Google Books function When Carriers industries Research and Design a new e-book platform, (3) Self-trading center might choose cooperation way instead of providing search and preview services by itself.
