近年來臺灣的上市、櫃公司陸續發生許多引人注目的經營權爭奪大戰，此種非合意的併購案逐年增加，而在相關法令規範仍稍嫌不足的情況下，攻守雙方時常爛招盡出，曲解法令、無視主管機關、更將公司治理視若無物，為臺灣的資本市場帶來極其惡劣的形象。
本文將以泰豐輪胎遭南港輪胎成功入主之個案進行探討，泰豐輪胎為遭非合意併購之對象，其為臺灣股票掛牌上市之家族企業，遭同為臺灣之上市公司南港輪胎非合意併購。併購過程中雙方過招無數回，公司派的泰豐輪胎，利用其主場優勢採取各種反併購策略，期間甚至傳聞泰豐輪胎意圖引入臺灣另一上市輪胎廠「華豐橡膠」扮演白馬騎士前來馳援，三個輪胎碰在一起將擦出什麼火花。而另一頭發動併購的南港輪胎，其動機究竟是為了業務整合亦或是為了泰豐輪胎所擁有的土地資產，恐怕只有決策者知道，但其併購策略的運用與對手招式的反制，另人印象深刻，且該併購案由發動到成功入主僅費時不到2年，堪稱非合意併購之經典個案。
因此，本文將以此個案之經過，分析雙方併購與反併購策略之應用、家族傳承及公司治理之議題等。

In recent years, there have been many high-profile contests of corporate managerial control between the listed and listed companies in Taiwan, and the number of such hostile takeover has been increasing year by year. In the case that the relevant laws and regulations are still slightly inadequate, the parties of corporate managerial control contest play all sorts of tricks offtenly, misinterpreting the laws and regulations, ignoring the competent authority, and treating the corporate governance as if it were nothing, it brings an extremely bad image to the capital market of Taiwan.
The article will discuss the case of "Federal Corporation" being successfully taken over by "Nankang Rubber Tire". Federal Corporation was the target of hostile takeover, a family-ownend company listed on Taiwan stock market, that was hostile takeover by another Taiwan-listed company. During the period, both sides have taken many actions, Federal Corporation used its owend advantages to oppose mergers and acquisitions, and intened to find another taiwan-listed tire company, Hwa Fong Rubber Group, to play as the knight on the white horse to oppose the hostile takeover, the three tire companies would crash out what kind of spark in the competition. On the other hand, the motives for Nankang Rubber Tire to launch the merger and acquisistion, is for the business integration or the proerties owned by Federal Corporation, the real purposes of the action is known only to the decision maker, but the strategies of mergers and acquisitions and anti-mergers and acquisitions is impressive, it took less than two years to achieve success, which is a classic case of hostile takeover.
Therefore, through by the case, we would analyze the issues of the strategies of mergers and acquisitions and anti-mergers and acquisitions, and family succession and corporate governance.
