本個案公司是在台灣電信市場中以參與固網起家的後進電信公司,面臨著台灣電信市場的長期壟斷,正當努力開拓市場之際,卻遭經營階層掏空公司,決策者大膽進行公司合併與組織重整,以強化公司的核心競爭能力。而個案主角呂先生,正是在這種情況下,接任合併後新公司的董事長,領導兩家已得標4G特許執照的電信公司。接手之後,擺在他面前的是兩家公司的整合是否合乎相關法令、4G行動網路系統整合與建置、以及已落後同業開台進度等問題,若沒有完善的解決方案,除了造成員工大量流失外、營業績效與客戶數量的流失,新公司也可能無法脫離困境而從此一蹶不振,不但沒能達到當初合併發揮一加一大於二的目的,也讓這間結合基礎薄弱的新公司就此分崩離析。身為領導者的呂先生,要如何在競爭激烈的環境中帶領大家走過這些難關,克服新公司所面臨的種種困境,創造新的營運契機,以增加用戶數及營收佳績呢?
本論文採用哈佛式個案撰寫法,包含個案本文及個案教學指引兩部分。個案教學指引對個案中的討論內容做詳細說明,主要議題有資源整合、競合策略、聯盟決策與策略聯盟,分別就文獻學說及個案分析進行探討,希冀以實務驗證理論,理論引領實務方式,提供企業在面臨企業整合、策略聯盟時一個可供參考的解決方案。
The company in the case study is a late-start telecommunication company that starts its business in fixed network in Taiwan’s telecommunication market. When the company has tried to expand its business in spite of the long-held dominance by a few in the market, the management team has been tunnelling the company. The new management team that took over the company boldly merged itself with another company and reconstructed its structure. It is believed that it will strengthen its core ability of competition. Mr. Lu, the center of the case study, is appointed as the chairman of the newly merged company. He has to lead two telecommunication companies with special permit 4G licenses. After the taking-over, he has to confirm whether the merge of two companies has been compliant with all the relevant laws and codes. He also has to supervise the integration and establishment of 4G mobile network system, and the progress of start-up peers that have been lagging behind others. If there are no comprehensive proposals of solution, the company will face the greatly loss of talents, operation performance, and customers. The company will hence never get itself dig out of the troubles, and it will fail completely. The company will not only achieve the original intention of one plus one to be more than two, but the newly merged one which has been on a shaky foundation will also shatter altogether. Mr. Lu, as the chief executive, has to lead the company through the challenges among the fiercely competitive environment, conquer all the adversities, open up new opportunities of service, and increase customers and profit.
This thesis employs the Harvard-style case writing, which includes the two parts of case thesis and case teaching guidance. The case teaching guidance has made a thorough description on all the necessary discussions in the case. The major issues are resource integration, the strategy of competition and cooperation, the decision on merge and strategic coalition. The thesis has made a literature review and a case analysis. It is aimed to use a real case study to verify theory, and the theory will give the real case guidance. It will provide a reference of solution for corporations when they intend to make company merge or strategic alliance.
