  • This paper examines the takeover attempt of Mexican Telecommunications Company America Movil on Dutlchland based Koninklijke KPN N.V, also a Telecommunications Company. In the business world is common that companies from developed nations often found themselves without room to grow in their mature home markets. Therefore they seek expansion in developing countries, where population is bigger and cost entry barriers are lower. This case study presents a situation that is exactly the opposite; A Telecommunications Company from a developing country is trying to enter the mature and saturated European Market. At first glance the decision might look like a bad investment. Nevertheless, the paper carefully examines what are the forces behind such a decision, what is the situation on the home market of the acquiring company, which are the players on this takeover, and the managerial reasoning that back up such a venture. The paper also makes an analysis on the offer price of the acquiring company. The target company performance is analyzed and compared to a benchmark of its peers to better understand its depths and worth. Also, a standalone Discounted Cash Flow analysis is conducted in order to compare how well matched is the offer price, in relation to the value of the target company. The paper concludes with the likely scenarios that will follow the offer, and the recommendations for a successful acquisition.
