本個案描述西勝公司為一家傳統沖壓生產加工廠，於民國107年因業務萎縮，二代接班傳承不成，欲結束營業，因緣巧合下淡金公司正值謀求開發新業務，轉型多元化經營讓企業得以永續經營，經審慎評估分析後順利將西勝公司併購，成功移轉繼續經營，為淡金公司創造更高價值，提升競爭力並於三年時間業績成長50%，此為成功之併購案例，藉此論文個案加以描述分析探討。
領導者靠的是專業的能力，在工作時要堅信，沒有夕陽產業只有沒落的公司原則，面對挑戰摒棄成見，以整體利益為重，勤學多問，跟進產業移動腳步，觀察業界變動幅度，求知求變。
本論文以哈佛個案之格式撰寫，內容包含個案本文和教學指引兩部分，個案本文的部分描述併購西勝公司之緣由及經過，為淡金公司所帶來的利弊分析及討論，教學指引的部分，探討傳統製造業的經營特色，當企業面臨困境的時候，如何在科技發展瞬息萬變的時代中生存，甚至當有能力併購他廠時，所要思考的策略與評估可能產生的利益與風險。

This case study describes how West Victory Industrial Co., Ltd, a traditional metal stamping production factory, intended to close its business in 2018 due to decline in sales and the failure of the second-generation succession. Coincidentally, Tank King Co., Ltd. was seeking to develop new businesses and transition to diversified operations for corporate sustainability. After thorough evaluation and analysis, Tank King Co., Ltd. successfully acquired West Victory Industrial Co., Ltd. and continued its operation, creating higher value for Tank King Co., Ltd. and increasing company’s competitiveness. Within three years, sales grew by 50%, making it a successful merger and acquisition case. This thesis analyzes and discusses this case.
Business leaders use their professional abilities to lead the company with persisting goals and shall believe that there are no sunset industries, only failing company principles. Business Leaders know that the strength of their leadership is built on their ability to adapt to suddenly changing situation and to know when and how to seize on opportunities amid a changing environment.
This thesis is written in the format of a Harvard Case Study, consisting of two parts: the case study and the teaching guide. The case study section describes the motives and process of acquiring West Victory Industrial Co., Ltd., the advantages and drawbacks brought to Tank King Co., Ltd., and the resistance from employees. The teaching guide section explores the management characteristics of traditional manufacturing industries; when facing challenges, how companies can survive in the era of emerging technologies; and the strategies and evaluations of risks when considering M&A opportunities.
