企業考量成本因素與品質因素,將資訊系統委由其它專業之資訊廠商,以將更多的資源投注在核心能力的部分,這是現今許多企業採取的策略。對於專案開發的委外工作,企業與委外資訊廠商如何降低期望落差,達成更多的共識,讓專案的每一個階段,雙方依據一定的程序,緊密合作,達到如期、如質、如預算的目標,合約是一個很好的控管工具,如何擬定好一份好的合約,拉近企業與委外資訊廠商的認知,這是值得探討的議題。
軟體委外開發,多數企業對於產品上市或是企業內部流程需要性,縱使專案過程出現交付時程延遲,或是部分品質上的期望落差,多半選擇妥協,或是協商其他的補償,對於企業來說,其實都是額外成本的投入。企業與委外資訊廠商之間的專案合作爭議,不盡然是委外資訊廠商能力的不足,常常原因在於專案起始,雙方未能清楚溝通的合作程序,沒有合約,或者是合約內容對部分工作執行權責與標準沒有清楚揭露,大家各自解讀,沒有共識。
企業投注更多注意力於委外合約的擬定,相信有助於委外專案的成功率,或者當預期之外的專案發展,企業仍可以保有與維持基本權益。本研究參考數個較具規模的企業與軟體委外開發廠商之合約,提出軟體開發合約的基本架構,並蒐集台灣各地方法院的專案開發與軟體開發的民事訴訟案件,進行分類,經由實際案例的分析與探討,讓讀者對這些訴訟案例當作是最佳的經驗學習與分享,並提出合約擬定的重點補強。最後,依循軟體開發流程,歸納與提出企業應如何參與軟體委外開發工作,以充分發揮合約精神,將專案導向成功。


Cost and Quality are two main reasons for enterprise to outsource information systems.It’s a enterprises’s important strategy to concentrate their more resources in core ability nowadays.For outsourcing implementation of enterprise software, how to reduce the gape of expectation and have same apprehension, let everything done under certain rule in every stage to achieve the goal of schedule , quality and cost.Agreement is a good way to make it.How to come to an agreement to let enterprise and vendor awaring of each other’s expectation is a subject which is worth discussing.
Although outsourcing implementation of software appearing rescheduling and quality issues, most enterprises accept compromise regarding the need for product to market or the need of interior procedure.It results an extra cost for enterprises.The reason of those issues software outsourcing occurring are not completely the weak ability of vendor, but the unclear communication at the initial stage.There’s no agreement or agreement without details describing the duties and obligations.Enterprises and vendor have their own comprehension.
Enterprises pay much more attention on contract setting of outsourcing software development will raise the success rate of projects and get their basic rights when projects go unexpectly.This research will propose contract setting architecture after reference the agreements of several experienced enterprises. In order to understand the key points of contract setting of software development outsourcing, this research also collects and analyzes all Taiwan local court cases about the software development projects.Share the experiences of those real cases with all readers.Finally, this research will come out how an enterprises participate the software development projects and make those projects succeed.
